Go to Steam 
Right Click On Ultimate Marvel Vs Capcom 3
Go to manage, browze local files
One there go into C:\Program Files (x86)\Steam\steamapps\common\ULTIMATE MARVEL VS. CAPCOM 3\nativePCx64\chr

Then drop the arc file into the folder and replace the arc
